LLC Manager Removal

Unlike with corporations, partnerships and other business entities, there are few statutory provisions addressing the procedures for removing a manager of a limited liability company in Missouri. If a LLC is manager-managed, then management is vested in the manager(s), who has the right and authority to manage the affairs of the LLC and make decisions with respect to the LLC to the extent provided in the operating agreement.
Few cases discussing removing a manager for cause in a court proceeding as of this writing. Section 347.079, RSMo, however, states that if the operating agreement is silent on how to remove a manager, then removal shall occur upon a vote of a majority of the members/owners.
